With specific requests from companies and individuals, we could extend our service scope to the following aspects. However, it is relevant for engaging parties to understand we could only take on a passive role in these services, of which our team shall work closely with our clients in a supervisory role. The approaches that we will be adopting mainly include assisting with reviewing the transaction, sharing our views and concerns, participating in the negotiation process, working closely with relevant parties engaged by our clients, and establishing relevant key performance indicators as well as reporting requirements.

Partnership or investment arrangement review
should our client, regardless of whether it is a company or individual, have decided to participate in a partnership or investment arrangement, our team could assist with working closely with the relevant legal team in the aspect of reviewing the overall deal structure, sharing our thoughts and concerns on the following key items:
- Contributions – ensuring each party’s stake in the formation and ongoing finances of the arrangement are clearly defined;
- Profit distribution or loss sharing – profit splitting or loss sharing by each party in the arrangement is clearly defined and outlined in the relevant legal documentation;
- Ownership – vividly describe how the ownership interest of each party in the arrangement would be handled e.g. the death or bankruptcy or retirement of any party in the arrangement, non-compete negotiation, etc.;
- Decision making – which party in the arrangement is given the authority to make the decision, which or what decision can be made by a single party, rights, and authority of minority party in the arrangement, etc.;
- Dispute resolution – how should disputes among parties in the arrangement be resolved;
- critical developments – cater specifically for unexpected events;
- Dissolution – relevant steps to be taken to legally end the arrangement are clearly defined;
- Others – All other relevant issues which require to be incorporated into the arrangement. For example, depending on the form of partnership, should a special purpose vehicle is required to be formed, we will assist with reviewing the constitution or articles of association, the formation structure, and other related matters.
Trust Fund
For investors (including high or ultra-high-net-worth individuals and families) who lack the necessary understanding on setting up an onshore and/or offshore trust fund, and the relevant structures to be adopted, we will be delighted to share our understanding in the following aspects:
- Trust Fund Structure – common trust fund structures adopted generally comprise of Limited Partnership Fund “LPF” and a Segregated Portfolio Company “SPC”. SPC are named differently in different countries. For instance, in Singapore, SPC is known as a Variable Capital Company “VCC”. We shall share our views and concerns on the aspects of benefits and relevant challenges associated with LPF and SPC, the relevant requirements, the associated setup and maintenance costs, the comparison of both structures, and more importantly, the relevant tax implications (on a high-level basis) of which the investors should take into considerations.
- Family Office – A family office is a privately held company that manages investment management and wealth management for a wealthy family. Family offices may also manage other matters such as managing household staff, making travel arrangements, property management, day-to-day accounting and payroll activities, management of legal affairs, family management services, family governance, financial and investor education, and succession planning. The Family Office Trust Structure is a popular choice for high or ultra-high-net-worth family investors. Jurisdiction governing the setting up and management of family offices, the associated costs, as well as their relevant tax exemptions and other associated benefits such as the offering of work permits, and permanent residency, deviate substantially in accordance with local jurisdictions. We may not have all relevant and up-to-date understanding and information on the abovementioned issues, but with specific instructions from our clients, we could assist with liaising with relevant local service providers as well as local authorities to obtain and analyze information for the ultimate consideration of the investors.
- Trust and/or Investment Manager – from our experience, choosing the right professional party to manage the trust fund is highly crucial, and the selection criteria vary according to the different specific requirements of the investors. By gathering the specific requirements and expectations of the investors, we could assist by establishing specific and key criteria in the professional party selection, and with specific instructions, we shall further extend our assistance towards conducting interviews with the relevant professional parties.
- Establishing investment plans and guidelines – Ensuring the safety of the investment capital, and being available for the use of investors is our key objective. The investment plan and guidelines are designed to meet the goal of capital protection, readily available to be converted into cash, and finally to earn a return. The underlying plan and guidelines will also take into account investment risk mitigation through a diversification strategy, setting up rules and instructions for investment restrictions, and more.
